Terms of Service

Welcome to Eastcoast Sites (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website at eastcoastsites.com (the “Site”) and any web design, development, hosting, or related services we provide (the “Services”), regardless of the Client’s location. We serve clients nationwide. By accessing our Site or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our Site or Services.

1. Services Provided

Eastcoast Sites provides custom website design, development, and related digital services, which may include but are not limited to:

• Website design and development • Website redesigns • Basic hosting setup or referrals • Ongoing maintenance and support (if separately agreed upon)

The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate proposal, quote, or contract ("Project Agreement"), which is incorporated into these Terms by reference. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement controls for that specific project.

2. Quotes, Payment, and Pricing

All quotes are estimates based on the scope of work discussed at the time of quoting. Significant changes to the scope may result in a revised quote.

A deposit (typically 50% of the total project cost) is required before work begins, unless otherwise agreed in writing.

Remaining balances are due upon completion of the project or per the payment schedule outlined in the Project Agreement.

Late payments may result in a pause of work and, if unresolved after 15 days, may incur a late fee of 1.5% per month or result in termination of services.

All fees are non-refundable once work has begun, except as otherwise required by law or explicitly stated in the Project Agreement.

3. Client Responsibilities

To keep your project on schedule, you agree to:

• Provide timely feedback, content (text, images, logos, branding materials), and approvals as requested • Ensure you have the legal rights to any content, images, logos, or materials you provide to us for use on your website • Respond to requests for information within a reasonable timeframe (delays on your end may extend project timelines)

We are not responsible for delays caused by late feedback, missing content, or unresponsiveness from the Client.

4. Revisions

Each project includes 2 rounds of revisions as specified in your Project Agreement. Additional revisions beyond this may be billed at our standard hourly rate of $125/hour, or as otherwise agreed.

5. Ownership and Intellectual Property

Upon full payment, the Client owns the final website design and custom code created specifically for their project, excluding any third-party assets (stock photos, plugins, themes, fonts, or licensed software) which remain subject to their original licensing terms.

Eastcoast Sites retains the right to display completed projects in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing.

Any proprietary tools, frameworks, or code libraries developed by Eastcoast Sites prior to or independent of the Client’s project remain the property of Eastcoast Sites.

Until payment is received in full, all work product remains the property of Eastcoast Sites.

6. Third-Party Services

Websites may rely on third-party platforms (e.g., hosting providers, domain registrars, content management systems, plugins, or booking tools). Eastcoast Sites is not responsible for outages, price changes, policy changes, or discontinuation of services by third-party providers.

7. Website Maintenance & Support

Unless a separate maintenance agreement is in place, Eastcoast Sites is not responsible for ongoing updates, security patches, backups, or fixes after project completion. Maintenance packages may be purchased separately.

8. Warranties and Disclaimers

We strive to deliver high-quality, functional websites, but we do not guarantee specific business outcomes, including but not limited to increased traffic, leads, sales, or search engine rankings.

The Site and Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Site or any delivered website will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Eastcoast Sites shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

10. Cancellation and Termination

Either party may terminate a project with written notice.

If the Client terminates a project after work has begun, the Client is responsible for payment for all work completed up to the termination date, plus any non-refundable costs already incurred (e.g., third-party licenses).

Eastcoast Sites reserves the right to terminate a project if the Client fails to provide necessary materials, feedback, or payment for an extended period (typically 15 days), and may retain any deposits paid to that point.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the project, except as required by law.

12. Indemnification

You agree to indemnify and hold harmless Eastcoast Sites, its owners, and employees from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the Services, your content, or your violation of these Terms or any applicable law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions, regardless of the Client’s location. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Palm Beach County, Florida.

Note: This clause names the state where our business is legally based — it applies to clients everywhere, no matter where they’re located. This is standard practice for businesses that serve clients nationally or remotely.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of our Site or Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
